Mix Lock software is sold by Paul Smith, trading as Mix Lock, a sole trader based in England ("Mix Lock", "we", "us"). All purchases are made through LemonSqueezy, our authorised payment and licence processor. Contact: mixlockadmin@gmail.com
When you purchase Mix Lock you are buying a non-exclusive, non-transferable personal software licence. You are not buying ownership of the software, its source code, content, data, or any intellectual property within it. Ownership remains with Paul Smith at all times.
"Lifetime" means the software licence is valid for as long as Mix Lock is actively maintained. In the unlikely event Mix Lock is discontinued we will provide reasonable notice.
Payment is processed by LemonSqueezy. Upon successful payment you will receive an email containing your licence key and a download link. Delivery is digital; no physical goods are shipped. Ensure you provide a valid email address at checkout.
All prices are in GBP (£) and include VAT where applicable. The early adopter price (£49) is strictly limited to the first 50 copies purchased. Once the early adopter allocation is exhausted the standard price (£89) applies automatically. We reserve the right to change prices for new purchases at any time, but any purchase you have already completed will not be affected.
Because Mix Lock is a digital software product that is delivered and activated immediately upon purchase, we are generally unable to offer refunds once a licence key has been issued and activated. Exceptions are made only where:

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use one copy of Mix Lock on up to two (2) computers that you personally own or control, for your own personal music production use.
The following are strictly prohibited and constitute a breach of this licence:
This licence terminates automatically and immediately if you breach any of its terms. Upon termination you must cease all use of Mix Lock and delete all copies. We reserve the right to disable licence keys remotely and pursue legal remedies for breach.
Updates to Mix Lock are included free of charge for the lifetime of the product. We may change, add, or remove features in any update. We will not remove core functionality that was present at the time of your purchase without reasonable notice.
All intellectual property in Mix Lock — including but not limited to the software code, user interface design, workflow system, mixing methodology, data structures, channel encyclopaedia entries, CHAIN RULES, macro zone configurations, ENC database, GLOSSARY, composition guides, writing steps, all text content, and all audio, visual, and graphical assets — is the exclusive property of Paul Smith and is protected by UK and international copyright law.

Using Mix Lock as a teaching tool without authorisation is a breach of this licence and an infringement of our intellectual property rights.
You may not use Mix Lock — or any content derived from it — to teach, instruct, coach, or guide other people in a commercial, semi-commercial, institutional, or recurring informal setting without first entering into a written Educator Partner Agreement with Mix Lock.
This includes but is not limited to: music production courses (online or in-person), one-to-one tuition, YouTube tutorials that reproduce Mix Lock content, college or university teaching, and workshop delivery.
The Mix Lock Partners Programme exists precisely to enable producers and educators to build legitimate teaching and coaching businesses using Mix Lock. "Mix Lock" is a brand name owned by Paul Smith. You may not use the Mix Lock name, logo, or brand identity in any way that implies endorsement, partnership, or affiliation without our prior written permission.
Any feedback, suggestions, bug reports, or feature ideas you submit to us become our property and may be incorporated into the software without obligation or compensation to you, unless we agree otherwise in writing.

Nothing in these Terms limits liability for fraud, death, or personal injury caused by our negligence, or any other matter that cannot be excluded by law.
We take intellectual property infringement seriously. Breaches of these Terms — particularly unauthorised teaching, reproduction, or reverse engineering — may result in:
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mix Lock regarding your use of the software and this website, and supersede all prior agreements.
We may update these Terms from time to time. The "Last updated" date at the top will reflect any changes. Continued use of the software or website after changes constitutes acceptance of the updated Terms.
